Introduction

Welcome to Sourceliner. These Terms of Service (“Terms”) govern your access and use of our web application, platform, and procurement services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. Please read them carefully.

Scope of Services

Sourceliner is a procurement support platform designed to help businesses source directly from China with confidence, efficiency, and transparency. Our Services combine digital tools, local expertise, and on-the-ground support.

We offer a 10-step sourcing process, covering the complete lifecycle of procurement:

Searching – Identifying and filtering suppliers.
Quoting – Collecting and comparing offers.
Negotiating – Securing fair terms and contracts.
Auditing – Verifying supplier compliance and reliability.
Purchasing – Generating purchase orders and managing payments.
Inspecting – Overseeing production and quality checks.
Forwarding – Supervising packing and storage.
Shipping – Managing transport by air, sea, or land.
Clearing – Handling customs documentation and compliance.
Delivering – Coordinating final delivery to the destination.

Our services support clients across 20 key industries, including:

B2B: Energy, Manufacturing, Construction, Mining, Agriculture, Transport, Health, Education, Hospitality, Entertainment.
B2C: Beauty, Fashion, Food, Beverage, Officeware, Homeware, Toys, Appliances, Electronics, Accessories.

Eligibility and Accounts

You must be at least 18 years old or an authorised representative of your business.
Account holders are responsible for all activity under their credentials.
Sourceliner reserves the right to suspend accounts for misuse or breach of these Terms.

User Responsibilities

When using Sourceliner, you agree to:

Provide accurate specifications, order details, and business documentation.
Cooperate with Sourceliner during supplier selection, audits, and inspections.
Use the Services only for lawful business procurement.
Ensure your business complies with international trade laws, including import/export controls, sanctions, and customs regulations.
Avoid misrepresentation, fraud, or attempts to bypass Sourceliner’s supplier agreements.

Fees and Payment

Sourceliner operates on transparent pricing models, which may include flat project fees, percentage-based service fees, or subscription models depending on your engagement.
All fees are agreed in writing before services begin.
Payments must be made securely via the methods approved by Sourceliner.
Late or failed payments may result in paused or cancelled orders.
Refunds are not guaranteed, except as required by law or stated in service agreements.

Procurement and Supplier Relationships

Sourceliner acts as a procurement partner and facilitator, not as a manufacturer or supplier.
While we verify suppliers and oversee production, final product quality and compliance remain the responsibility of the supplier.
Sourceliner is not liable for supplier insolvency, non-performance, or unforeseen disruptions outside our direct control.
Clients may request we manage relationships with their existing suppliers, but Sourceliner assumes no liability for pre-existing supplier issues.

Quality Assurance and Inspections

Our Inspecting stage includes factory audits, in-line production monitoring, and pre-shipment inspections.
Clients receive detailed reports, photos, and videos for transparency.
Sourceliner provides reasonable assurance of compliance but does not guarantee zero defects or delays.
Discrepancies must be reported within 7 days of delivery for investigation.

Logistics and Shipping

Sourceliner coordinates Forwarding, Shipping, and Clearing through vetted logistics and customs partners.
We supervise packing, loading, and labelling to meet international freight standards.
Shipping timelines are estimates and may be impacted by weather, customs delays, or global disruptions.
Import duties, tariffs, taxes, and compliance at the destination country are the responsibility of the client.

Platform Access and Data

The Sourceliner platform provides dashboards, order tracking, communications, and documentation management.
We grant you a limited, non-transferable licence to use the platform solely for your procurement projects.
You retain ownership of your data; Sourceliner may process data as required to deliver services.
Data usage and storage are governed by our Privacy Policy.

Confidentiality

Both parties agree to maintain confidentiality of sensitive business, supplier, and pricing information.
Sourceliner may share necessary information with suppliers, auditors, and logistics providers strictly for service delivery.
Confidentiality obligations survive termination of these Terms.

Intellectual Property

All platform features, workflows, software, and branding are the intellectual property of Sourceliner.
Clients may not copy, resell, or reverse-engineer the platform.
Supplier data and order history remain confidential to each client and are not shared with competitors.

Limitation of Liability

Sourceliner’s liability is capped at the total service fees paid by the client in the preceding 12 months.
We are not liable for indirect damages such as lost profits, delays, or third-party failures.
Nothing in these Terms excludes liability for fraud, negligence, or other liabilities that cannot be excluded by law.

Dispute Resolution

Disputes should first be raised with your dedicated Sourceliner account manager.
If unresolved, disputes may be escalated to mediation in Hong Kong.
Legal disputes fall under the exclusive jurisdiction of Hong Kong courts.

Termination

You may terminate use of the Services at any time by written notice.
Sourceliner may terminate accounts for breach of these Terms, misuse, or unpaid fees.
Upon termination, outstanding invoices remain payable, and confidential obligations continue.

Amendments

Sourceliner may update these Terms periodically. Notice of changes will be provided via email or platform notification. Continued use after updates constitutes acceptance of revised Terms.
